General Terms and Conditions of Sale updated on 6 April 2009. Our relations with our customers and our manufacturing are governed by the Professional Practices and General Terms and Conditions of Sale of the Printing Industry and by the special terms of sale below.
Prices and quotes – Our prices are given for information purposes, based on the mock-ups and projects supplied by the customer when requesting a price. They may be revised upwards or downwards when the final document or the structure of the printed item no longer corresponds to the initial quote. When the price request was made by telephone based on a brief description of the printed item, we only give an estimated price, which may be revised on receipt of the final document. Changes requested by the customer that were not planned at the time of the initial price request, or that are made when a first proof is presented, will be invoiced in addition as "Author's Corrections". All our quotes are drawn up at current rates and are exclusive of taxes, unless otherwise stated. Customers entitled to the reduced VAT rate must provide all necessary supporting documents in this respect.
Order – An order is only taken into consideration by our departments upon receipt of a purchase order duly dated and signed by the customer. Any first order gives rise to the following payments: 50% on the date the order is accepted and 50% on delivery, by cheque. Any request for additional work will only be taken into consideration after the customer has signed an amendment to the purchase order, including any change to the price and delivery terms. An order may only be cancelled after our acceptance. In that case, the costs incurred by our Company, in particular for typesetting, imagesetting, plates made or document output, will be payable by the customer.
Payment of invoices – Unless otherwise agreed, our invoices are payable on receipt of the goods within 30 days net, by bill of exchange, bank transfer or cheque. No discount is granted for early payment. In the event of late payment in relation to the date shown on the invoice, a penalty calculated at a rate equal to one and a half times the legal interest rate, in accordance with law 92.1442 of 31.12.92, will be applied, by the mere arrival of the due date and without any prior formal notice being necessary. Should collection have to be carried out through legal channels, in addition to the amount of the invoice, either compensation of 10% of the sum due or the actual costs incurred if higher will be payable, in addition to late-payment interest. The seller expressly retains ownership of the goods delivered until full payment of their price in principal and interest.
Delivery lead times – Delivery lead times start from receipt of the print approval signed by the customer. Any delay due either to the customer's failure to supply the planned documents or the print approval on the agreed date, or to the occurrence of force majeure, will rightly lead to additional lead times. Delivery lead times are given purely for information and without guarantee. A delay does not entitle the buyer to cancel the sale, refuse the goods or claim damages.
Transport of goods and receipt – Goods travel at the risk of the consignees, who are responsible for checking their condition at the time of delivery, and are deliverable carriage paid in full as soon as their manufacture is completed, to a single location. A defective part of the delivery cannot justify its total rejection. We are not responsible for delivery. If we agree to handle it directly or through a carrier, we do so as an agent, and it is then up to the customer to insure the goods and to provide for the waiver of any recourse. In the case of contract work, and should our liability be engaged, compensation may in no case exceed the amount of the work we carried out, any replacement of paper or board supplied by the customer being excluded. To be valid, any claim must be made in writing within eight days following receipt of the goods. Goods with an acknowledged non-conformity reported within the above period will be replaced or repaired, to the exclusion of any compensation of any kind whatsoever, unless our intentional fault is proven.
Preparatory work – We reserve the right to invoice all preparatory work, such as sketches, mock-ups, colour proofs, typesetting, etc., carried out on request if the project is not followed up within one month of their presentation.
Author's corrections – Author's corrections, that is to say all those resulting from any change by the customer to the original manuscript (shifting, retouching on films, machine waiting time, re-registering…), are charged to the customer and invoiced separately. The customer must return to us the copies and all the proofs on which he has or has not made corrections, these documents being essential for checking the accounts.
Print approval – The "print approval" releases us from liability. It must be given on the proof itself. We undertake to read carefully the proof bearing "the print approval", without thereby becoming responsible for errors that the customer may have missed.
Printing of our website address on the work produced – We reserve the right to print our website address on the papers or boards delivered to our customers. If the customer has reservations, he must express his remarks or objection by letter or email before signing the "print approval".
Supply of paper or board: The paper or board used to carry out the order is to be chosen from a sample presented. Slight differences in shade, purity, finish, strength and weight of the paper or board, or in shade and purity of the colours, cannot justify the refusal of work carried out. Where we do not supply the paper or board, and therefore have no legal relationship with the supplier, no liability can be attributed to us for the choice of a paper or board that may not be suitable for the work in question.
Deposits – Goods of any kind and various objects belonging to customers, such as printing blocks, films, electronic media, engravings, mock-ups, goods………… that are deposited on our premises are kept in deposit on our premises, are kept in deposit at the risk of their owner. In looking after the deposited objects, we are not required to provide any care other than that normally observed in our establishment. For valuable objects for which the customer wishes special precautionary measures, he must indicate the value of the object in advance and in writing. Customers must insure their goods and objects in any condition, of which they alone know the market value, and must obtain from their insurance companies a waiver of recourse against our company, our employees, our warehouse keepers and our subcontractors.
Delivery tolerances (The customer is required to accept and pay for an excess or shortfall in supply that may vary between 2% and 10%, depending on the size of the order, in application of article 46 of the Professional Practices.
Copyright – For any work involving creative activity on our part (in particular: drawings, engravings, films and printing blocks of all kinds, impressions, typesetting in special characters…), the copyright arising from this creation, and in particular the right of reproduction, remains ours and is only transferred to the customer by means of a written agreement to that effect. The written agreement assigning the copyright, and in particular the right of reproduction, must be express: it cannot result from the fact that the creative activity was provided for in the order, nor from the fact that it is the subject of special remuneration, nor from the fact that ownership of the physical medium of the copyright is transferred to the customer.
Right of reproduction – Placing an order for the reproduction of an object that benefits from the protection of the laws on artistic property implies, on the part of the customer, the assertion that a right of graphic reproduction exists in his favour. He must therefore, as of right, guarantee us against any dispute concerning this right of reproduction.
Ownership of production items – The production items needed to complete the work remain our property. However, ownership of these items may at any time be transferred to the customer by express agreement, subject to the provisions of article 16 of the Professional Practices and without prejudice to the articles relating to storage (articles 606 et seq. of the Professional Practices).
Intellectual property of the website content. Under article L.111-1 of the Intellectual Property Code, no text or element making up the website may be reproduced, modified or distributed in any way whatsoever.
Jurisdiction – For any dispute relating to the sales made and to the application or interpretation of these general terms and conditions of sale, the Commercial Court of Paris (75000) alone shall have jurisdiction.
Any reproduction of these general terms and conditions of sale, even partial, is prohibited.
